Terms of Agreement

This Consulting and Coaching Client Agreement (“Agreement”) is entered into by and between Dr. Dwayne Custer Consulting LLC (“Company,” “Consultant,” “Coach,” “we,” “our,” or “us”) and the individual or entity engaging in services (“Client,” “you,” or “your”).

By purchasing, scheduling, participating in, or otherwise engaging in services provided by Dr. Dwayne Custer Consulting LLC, you acknowledge that you have read, understood, and agreed to the terms outlined below.

1. Scope of Services

Dr. Dwayne Custer Consulting LLC provides consulting, coaching, educational facilitation, reflective writing guidance, workshops, courses, and related professional development services.

2. Coaching and Consulting Relationship

The Client understands and agrees that coaching and consulting services are collaborative, educational, and growth-oriented in nature.

If the Client is experiencing severe emotional distress, mental health concerns, crisis situations, or psychiatric symptoms, the Client is encouraged to seek assistance from a licensed healthcare or mental health professional.

3. Personal Responsibility

The Client understands that participation in reflective writing, identity exploration, personal narrative work, and transformational learning may involve emotional discomfort, self-reflection, or challenging conversations.

4. Confidentiality

The Company respects the privacy of Client communications and will make reasonable efforts to maintain confidentiality regarding information voluntarily shared during coaching or consulting sessions.

However, the Client understands and acknowledges that:

The Company reserves the right to disclose information if required by law, court order, or where disclosure is reasonably necessary to prevent imminent harm.

5. Intellectual Property

All materials, frameworks, exercises, writings, educational content, methodologies, course materials, presentations, graphics, recordings, downloads, and related resources provided by Dr. Dwayne Custer Consulting LLC remain the intellectual property of the Company unless otherwise stated.

6. Payment and Scheduling

The Client agrees to pay all fees associated with services as outlined in invoices, payment portals, service descriptions, or written agreements.

Sessions may be rescheduled with reasonable notice. Missed appointments or late cancellations may be subject to fees or forfeiture of the scheduled session at the Company’s discretion.

7. No Guarantees

8. Assumption of Risk

The Client voluntarily participates in coaching, consulting, reflective writing, educational exercises, and transformational activities with full understanding that such participation may involve emotional discomfort, vulnerability, or personal reflection.

The Client assumes full responsibility for participation and any resulting consequences.

9. Limitation of Liability

To the fullest extent permitted by law, Dr. Dwayne Custer Consulting LLC shall not be liable for any direct, indirect, incidental, consequential, emotional, financial, or special damages arising from participation in services or reliance upon information provided through coaching, consulting, workshops, courses, or related materials.

10. Technology and Online Services

The Client understands that services may be delivered through online platforms including video conferencing, email, course portals, scheduling software, or third-party systems.

The Company is not responsible for interruptions, technical failures, data breaches, or third-party platform issues beyond its reasonable control.

11. Termination

Either party may terminate the coaching or consulting relationship at any time, subject to any applicable payment obligations or package terms already agreed upon.

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Oregon.

By scheduling, purchasing, participating in, or engaging in services provided by Dr. Dwayne Custer Consulting LLC, the Client acknowledges that they have read, understood, and voluntarily agreed to the terms of this Agreement.
